Job description

A bit about Rockstart

Rockstart, one of Europe's first multi-vertical startup accelerators, was founded in Amsterdam in 2011 with a goal to provide startups with access to the market, capital, knowledge, and community. Since then Rockstart has become the specialist in building entire ecosystems around specific domains—such as Digital Health and Smart Energy. Since the inception, Rockstart has invested in 128 startups across 13 programs and supported them in their journey to raise more than €53 million and hire more than 600 people. Rockstart is an international team of 40+ professionals dedicated to support and empower startups to become scalable and change their world for the better.

The role

Your main goal is to ensure that Rockstart has sound contractual relations with all stakeholders and that its products are compliant with legal and regulatory requirements. As the Corporate Legal Counsel, you are involved in a wide variety of company projects, ranging from preparing for due diligence processes to setting up new fund structures for our startup investment activities. You work closely with our Finance Director, Rockstart’s other Legal Counsels, and Legal & Compliance Support to create and maintain smooth legal processes and protect Rockstart’s interests.

This position is a replacement for our current Corporate Legal Counsel.

Your main responsibilities will cover the following areas:

  • Overseeing all legal matters of Rockstart HQ;
  • General contracting in relation to new business activities and existing stakeholder contracts;
  • Assisting management with shareholders’ and supervisory board matters;
  • Assisting management with employment law matters;
  • Keeping trademark registration up to date and acting upon infringements;
  • Monitoring and ensuring compliance with legal and regulatory requirements;
  • Providing guidance to Legal & Compliance Support on legal compliance (including GDPR, WWFT and AML-requirements) and corporate secretarial matters;
  • Setting up investment fund structures and coordinating signing and closing of related documentation;
  • Assisting with legal data rooms and due diligence processes;
  • Assisting with ongoing legal work relating to the (structuring of the) investment activities;
  • Liaise and manage relationships with external law firms and advisors;
  • Other ad-hoc legal advice to Rockstart’s management team.

You love direct and honest communication lines to get fast results but you like to always end things on a positive note because why work hard if you can’t also have a little fun?

Must have requirements:

  • Master’s degree in Dutch corporate law;
  • At least 5 years relevant work experience, of which at least 3 years as a lawyer at an (international) law firm;
  • Experience in corporate law and preferably M&A, experience in employment law is a plus;
