Today, Rockstart is an international company that supports and empowers the best startups on their way to success across four domains: Energy, Health, AgriFood, and Emerging technologies. Rockstart also creates programs that are customized to boost collaboration between startups and corporates, driving faster access to co-creation, commercial partnerships, and investment. Rockstart has experience in designing and executing programs for Maersk, Shell, Dutch Ministry of Health, and many others.

Since its inception, Rockstart has invested in more than 150 startups and supported them in their journey to raise more than €87 million and hire more than 700 people. Rockstart is an international team of 35+ professionals dedicated to support and empower startups to become scalable and change their world for the better.

The role

Your main goal is to ensure that Rockstart has sound contractual relations with all stakeholders and that its products are compliant with legal and regulatory requirements. As the Corporate Legal Counsel, you are involved in a wide variety of company projects, ranging from preparing for due diligence processes to setting up new fund structures for our startup investment activities. You work closely with our Finance Team, Rockstart’s Legal Associate and the Legal & Compliance Assistant, to create and maintain smooth legal processes and protect Rockstart’s interests.

Your main responsibilities will be:

  • Overseeing all legal and compliance matters of Rockstart HQ;

  • General contracting in relation to new business activities and existing stakeholder contracts;

  • Assisting management with shareholders’ and supervisory board matters;

  • Monitoring and ensuring compliance with legal and regulatory requirements;

  • Safeguard, together with the Legal & Compliance Assistant, on legal compliance (including regulatory requirements such as WFT, WWFT and AML-requirements and GDPR) and corporate secretarial matters;

  • Setting up investment fund structures and coordinating signing and closing of related documentation;

  • Assisting with legal data rooms and due diligence processes;

  • Assisting with ongoing legal work relating to the (structuring of the) investment activities;

  • Assisting management with employment law matters;

  • Keeping trademark registration up to date and acting upon infringements;

  • Liaise and manage relationships with external law firms, advisors and regulators (AFM);

  • Other ad-hoc legal advice to Rockstart’s management team.

What makes you the perfect candidate?

You love to dive deep into a document or (legal) problem but in the end you’re pragmatic and resourceful and you just get things done. You’re comfortable setting your own priorities and you can move things into the sixth gear instantly if needed. You’re confident in your skills and knowledge and you’re not afraid to draw a line. You are a detail freak, always spotting the small improvements or mistakes. You love direct and honest communication lines to get fast results but you like to always end things on a positive note because why work hard if you can’t also have a little fun?

Must have requirements:

  • Master’s degree in Dutch corporate law;

  • A minimum of 8 years relevant work experience, of which at least 3 years as a lawyer at an (international) law firm. Experience in an investment company and/or a start-up or scale-up environment is a plus;

  • Experience in corporate law, M&A, fund structuring and fund management;

  • Strong legal network;

  • Fluent in both Dutch and English (written and spoken);

  • Proactive, entrepreneurial, results-oriented attitude with the ability to work effectively in a dynamic, ever-changing environment.

Start: September 2019

Availability: 40 hours per week.

Duration: This is a long-term position. We’ll start with a temporary contract.

Remuneration: Based on experience and knowledge.

Location: Amsterdam
